| 释义 | 撤銷 1. Strictly speaking, putting an end to a contract in way that treats the contract as if it never existed (rescission ab initio). Rescission (in this sense) totally discharges the parties from the duty to perform their contractual obligations. A vitiating factor in the event prior to contract formation may give a right of rescission. Where rescission is sought on equitable grounds its effect is to restore the parties to the position before the contract was entered into (Amuse Hong Kont Ltd v Chan Kin-tim [1994] 1 HKLR 364 (CA)), whereas rescission at common law for breach simply discharges the parties from further obligations to perform the contract (Lo Wo v Cheung Chan Ka Joseph [2001] 3 HKC 70 (CA)). 2. Terminating a contract for breach or repudiation. However, it has been criticised that the use of ‘rescission’ in this sense may lead to confusion because such rescission does not operate retrospectively and does not deprive the injured party of his right to claim damages in cases of breach: Photo Production Ltd v Securicor Transport Ltd [1980] AC 827. 3.
