释义 | 退出的合夥人 A partner who voluntarily leaves the partnership. This causes dissolution of the original partnership and the creation of a new one. A retiring partner remains liable for all the partnership debts and obligations incurred before the effective date of retirement, but may be discharged from such liability by an agreement with the remaining partners and the firm’s creditors: Partnership Ordinance (Cap 38) s 19(3). A retiring partner may be liable for subsequent debts if no proper notice of dissolution has been given to the creditors: s 38(1), (2); Chung Chih-yien v Tailor King [1967] HKDCLR 51. A retiring partner cannot enforce debts that were due to the firm at the date of retirement: Sobell v Boston [1975] 2 All ER 282.
