A contract or agreement expressed in words or by signs that custom or usage has made equivalent to word. A contract is an express one if an actual promise has been made, parties’ rights have to be measured by the express contract and no implied contract can be relied by them if they have acted in accordance with the express contract. In certain defined circumstances where a person is required by law, common law or statute, to disclose confidential information, any express contract to the contrary that he or she has entered will be held to be void and illegal: Ernst & Young (A Firm) v The Hong Kong Society of Accountants (A Body Corporate) (HCAL 139/99, unreported).
