释义 | 未來有效的合約 A contract yet to be performed or carried out by either party, where all that the parties have done is exchanged promises to do something at some future time. In the event that the ownership of the transfer of the subject matter of a contract is subject to the payment of the purchase price, the contract is an executory one: Karex (Hong Kong) Ltd v Fortune Talent Development Ltd & Ors [1999] 2 HKC 365. An innocent party of an executory contract has to unequivocally accept the repudiation of the other if he or she wishes to discharge himself or herself from the contract: Density Industrial Ltd v Sky Play Co Ltd (HCA 2302/98, unreported). In the law of sale of goods, an agreement to sell is often called an executory contract of sale, which is a contract pure and simple, whereas a sale is called for distinction an executed contract of sale: Halsbury’s Laws of Hong Kong, Vol 23, Sale of Goods [355.027].
