A term of a contract which is not expressly set out, but is regarded as having been impliedly agreed to and is implied into the contract to give effect to the intention of the parties to the contract. The court may imply a term into a contract for business efficacy, to make the contract workable (factual implication): IRC v Emerson Radio Corp [2000] 1 HKLRD 238; Twinkle Step Investment Ltd v Smart International Industrial Ltd [1999] 3 HKLRD 521; Tai Hing Cotton Mill Ltd v Liu Chong Hing Bank Ltd & Ors [1986] AC 80 (PC). A term may be implied by statute (legal implication): Sale of Goods Ordinance (Cap 26) ss 14-17; Conveyancing and Property Ordinance (Cap 219) ss 35, 40, 43. A term may be implied because of custom or usage, or on construction of the contract: Hutton v Warren (1836) 1 M & W 466. See also Contruction; Express term.
