| 释义 | 協議及履行 The release from an obligation whether arising under contract or tort by means of any valuable consideration, not being the actual performance of the obligation itself. The accord is the agreement by which the obligation is discharged, and the satisfaction is the consideration which makes the agreement operative: British Russian Gazette and Trade Outlook Ltd v Associated Newspapers Ltd [1933] All ER Rep 320, 2 KB 616 (CA). Until the satisfaction is provided and accepted, the cause of action remains alive and unimpaired: McDermott v Black (1940) 63 CLR 161; Tallerman & Co Pty Ltd v Nathan’s Merchandise (Victoria) Pty Ltd (1957) 98 CLR 93. It is a good defence to an action for breach of contract to show that the cause of action has been validly compromised: Happy Dynasty Ltd v Wai Kee (Zens) Construction & Transportation Co Ltd & Ors v Dyno Wesfarmers (HK) Ltd [1998] 1 HKLRD 309 (CFI). The Court will no longer have jurisdiction over the matter and there is nothing the parties can do to revive either the original cause of action or the jurisdiction of the court. The only remedy open is to sue for damages in respect of breach of the settlement agreement: Lam Fung Ying v Ho Tung Sing & Anor [1993] 2 HKC 436 (HC).
