A contractual undertaking or promise which is not expressly set out, but implied into a contract as a matter of general law, necessary implication, or custom or usage: Foley v Classique Coaches Ltd [1934] All ER Rep 88, 2 KB 1 (CA). The breach of such undertaking or promise may give rise to a claim for damages but not to a right to treat the contract as repudiated. In all the cases of implied warranties, the law raises an implication from the presumed intention of the parties with the object of giving to the transaction such efficacy as both parties must have intended that it should have: The Moorcook (1889) 14 PD 64 (CA); Trollope & Colls Ltd v North West Metropolitan Regional Hospital Board [1973] 2 All ER 260, 1 WLR 601 (HL); Jardine Engineering Corp Ltd & Ors v Shimizu Corp [1992] 2 HKC 271 (HC); Cmr of Estate Duty v Shanti Ramesh Ramchandani [1982] HKLR 153 (CA). 2. In the contract of utmost good faith, such as an insurance contract, there is an implied warranty that the insured will fully disclose all material matters or circumstances to the insurer: Marine Insurance Ordinance (Cap 329) s 18(1). Thus, there is an implied warranty that the vessel insured is seaworthy and fit to encounter the usual perils of port and the sea: s 39(1), (4). Also known as ‘covenant in law’.
