| 释义 | 經蓋章的文書 An instrument that has a seal affixed, attached or impressed upon it. A corporation was bound by an instrument under its seal, unless it could be shown that its execution was obtained by fraud or there was some illegality in the transaction: Woo Turhan & Anor v Taiwan Fuji Trading (HK) Ltd [1995] 2 HKC 481 (HC); Peking Fur Store Ltd v Bank of Communications [1993] 1 HKC 625 (HC); Grand Trade Development Ltd v Bonance International Ltd [2001] 3 HKC 137 (CA). A bond was an instrument under seal whereby one person bound himself to another for the payment of a specified sum of money either immediately or at a fixed future date: Hutchison International Ltd v Collector of Stamp Revenue [1977-1979] HKC 384 (DC). An instrument under seal will not be a deed unless it possesses the requirements for a valid deed, although it may be a valid instrument under hand: Windsor Refrigeration co Ltd v Branch Nominees Ltd [1960] 2 All ER 568, [1961] Ch 88.
