A written acknowledgment that a debt is owed. It derives from the statement ‘I owe you’. Whether an IOU is a promissory note of some other kind of instrument is a question of the intention of the issuer of the instrument. The necessary intention to constitute a promissory note is that the issuer intends to make a contractual promise to pay on the instrument, as distinct from any promise in an underlying transaction: Thomas v Hollier (1984) 53 ALR 39 (HC). See also Debt; Promissory note. 來自「I owe you」的說法。 n. |
