1. A preliminary contractual arrangement customarily used in situations where there is fundamental agreement on the main essentials of a contract with some provisions requiring further time-consuming negotiations: Ali v Ahmed (1996) 71 P & CR D39 (CA). However, whilst agreement may have been reached in the business sense, the danger is that there may be no intention to create legal relations until the formal contract is signed: Telephone Rentals Ltd v Museum Estates Ltd (1948) 151 EG 17. The fact that it is accompanied by a statement that the acceptor desires that the arrangement should be put into a more formal shape does not relieve either party from his liability under the provisional agreement: Yiu Yau Ping v Fong Yee Lan [1992] 2 HKLR 167 (CA); Chan Yock Kwong v Wong Hee Mao [1962] HKLR 480. 2. A letter from a proprietor to its preferred tenderer expressing an intention to enter into a contract: British Steel Corp v Cleveland Bridge and Engineering Co Ltd [1984] 1 All ER 504, (1983) 24 BLR 94. A letter of intent may be issued where the proprietor does not wish, or is not able, to enter into a formal contract with the tenderer immediately, but wishes that the preferred tenderer not withdraw its tender, but commence to ready itself for, or even make a start on, the work. Such a letter will not normally constitute an acceptance of the tender, nor oblige the proprietor to enter into a formal contract: Turriff Construction Ltd & Turriff Ltd v Regalia Knitting Mills Ltd (1971) 9 BLR 20. It may, however, amount to a promise by the proprietor that if the contractor undertakes some work it will receive payment even if no contract is entered into: British Steel Corp v Cleveland Bridge and Engineering Co Ltd, supra.
