| 释义 | 買賣損失 Economic loss incurred by a contracting party as a result of another party’s serious breach of the contract; for example, a failure to complete obligations: Oriental Press Group Ltd & Anor v Next Magazine Publishing Ltd & Ors [2001] 3 HKC 159, 3 HKLRD 263 (CA). Damages for loss of bargain are assessed by reference to the difference between the market value of the contract (or its subject matter) at the time of breach, and the price (or monetary equivalent) expressed in the contract: Diamond v Campbell-Jones [1960] 1 All ER 583, [1961] Ch 22. However this date is not absolute and the court is able to select another date if it would be more just: Goldspeed Investment Ltd v Easy Success Enterprises Ltd [2000] 2 HKC 183, 2 HKLRD 103 (CFI). Where the plaintiff’s termination is based on repudiation, breach of an essential term, or a sufficiently serious breach of an intermediate term, it will be presumed that the plaintiff is entitled to recover loss of bargain damages: Bunge Corp v Tradax SA [1981] 2 All ER 513, 1 WLR 711 (HL). No such presumption exists where termination is pursuant to an express termination clause.
