释义 | 認購權 An offer to sell, irrevocable for a stated period or until a stated event, made by the grantor of the option to the grantee, which the grantee is entitled to convert into a concluded contract of purchase on giving the prescribed notice and otherwise complying with the conditions on which the option is made exercisable in any particular case: Donald W Shields (No 2) v Chan Mary [1972] HKLR 121 (CA); Chin Chiu Cheng v Kan Fat Cotton Co Ltd [1999] 2 HKC 502. Upon the exercise of the option, both parties are bound by a contract of sale. There must be a binding contract to keep the offer open which requires either a deed or valuable consideration: SB Properties v Chelsea Football Club [1992] 64 P & CR 440. In order to be enforceable by court action, an option must be evidenced by writing signed by the party to be charged, or be supported by an act of part performance by the party seeking to enforce it: Birmingham Canal Co v Cartwright (1879) 11 Ch D 421.
