释义	誠實精神驗證 The legal test used to establish whether a decision by a company director is one which no reasonable board of directors could consider to be within the interests of the company. Even if the decision was made in good faith, the making of such a decision will be a breach of director’s duties: Hutton v West Cork Railway Co (1883) 23 Ch D 654 (CA).
