释义 | 內幕人士 A person who possesses information that is not generally available which, if it was generally available, a reasonable person would expect to have a material effect on the price or value of the securities of a body corporate. The person must know, or ought reasonably to have known, that the information was not generally available and that it might have a material effect on the price or value of those securities if it were generally available. In relation to a listed company, a person connected with a listed corporation and having information which he knows is relevant information, or a person who is contemplating or has contemplated making a take-over offer for a listed corporation and who knows that the information that the offer is contemplated or is no longer contemplated is relevant information: Securities and Futures Ordinance (Cap 571) s 291.
