1. The powers which holders of shares in a company have to vote at meetings of the company. In the case of a company originally having a share capital, every member shall have one vote in respect of each share or each $100 of stock held by him, and in any other case every member shall have one vote, in so far as the articles of the company do not make other provision in that behalf: Companies Ordinance (Cap 32) s 114A(1)(e). Notwithstanding anything to the contrary in the articles of a company, where any shares in a company are held in trust for that company, such shares shall not, for so long as they are so held, confer any right to vote at meetings of the company: s 114A(2)(b). The legal personal representative of a deceased member of a company shall be treated in all respects as a member of the company having the same rights with respect to attending and voting at a meeting of the company as such deceased member would, if living, have had: s 114B(3). Any member of a company having a share capital entitled to attend and vote at a meeting of the company shall be entitled to appoint another person (whether a member or not) as his proxy to attend and vote instead of him, and a proxy so appointed shall also have the same right as the member to speak at the meeting: s 114C(1). On a poll taken at a meeting of a company or a meeting of any class of members of a company, a member entitled to more than one vote need not, if he votes, use all his votes or cast all the votes he uses in the same way: s 114E. 2. The power to cast a vote at an election. Every permanent resident in Hong Kong SAR has the right to vote and be elected at genuine periodical elections without unreasonable restriction: Hong Kong Bill of Rights Ordinance (Cap 383) s 8 art 21. Where non-indigenous villagers who have lived in villages (comprising both the indigenous and the non-indigenous villagers) are excluded from voting and from standing as a candidate in the village representative election on the ground that they are not indigenous, that restriction cannot be considered reasonable. Non-indigenous men and women who are married to indigenous villagers should not be excluded from voting: S-J & Ors v Chan Wah & Ors [2000] 4 HKC 428 (CFA). People of a particular description are given a voting entitlement to vote in both functional constituency and geographical constituency: Lee Miu Ling & Anor v A-G [1996] 1 HKC 124 (CA).
