| 释义 | 註冊前的合約 A contract made in the name of a company which has not yet been incorporated: Companies Ordinance (Cap 32) s 32A(1). A pre-incorporation contract has the effect of a contract which has been entered into by the person purporting to act for the company, and such person would be personally liable on and entitled to enforce the pre-incorporation contract: s 32A(1)(a). A company may, after its incorporation, ratify a pre-incorporation contract to the extent as if the company was incorporated at the time the pre-incorporation contract had been entered into: s 32A(1)(b). If a pre-incorporation contract is ratified, the person who purported to act for the company in making the pre-incorporation contract would not be under any greater liability than he would have been if he had, after the incorporation of the company, entered into the contract on behalf of the company as an agent without authority: s 32A(2). Claims under contracts made on behalf of a company before its registration, or before it is entitled to commence business, cannot be proved for, unless the contracts have been adopted by the company: Re National Motor Mail-Coach Co Ltd, Clinton’s Claim [1908] 2 Ch 51 (CA).
