In securities law, the statutory obligation of individuals, particularly directors and officers of publicly listed companies, to disclose their interest and holdings in shares or debentures of the company to the relevant Stock Exchange and the particular company: Securities and Futures Ordinance (Cap 571) pt XV; Securities and Futures ((Disclosure of Interests – Securities Borrowing and Lending) Rules (Cap 571X). Such interests are designated as ‘notifiable interests’ (defined as a percentage of a given aggregate nominal share value): Securities and Futures Ordinance (Cap 571) s 311(3). 2. In company law, companies are generally obliged to submit annual returns to the relevant companies registry and which include, inter alia, details of share capital, changes in directors and a record of their indebtedness by way of mortgages or charges which are registered: Companies Ordinance (Cap 32) s 107.
