In company law, a situation in a company, usually a small or quasi-partnership company, where the differences amongst the directors/shareholders or groups of directors/shareholders give rise to a mutual loss of confidence, and thus great difficulty, if not impossibility for the company to conduct its business according to its articles of association. This situation is frequently cited in support of an application for the compulsory winding up of the company on just and equitable grounds: Re Quality International Ltd [1964] HKLR 669 (HC); Re Cirtex Co Ltd [1987] 3 HKC 13 (HC); Re Shiu Fook Co Ltd [1989] 2 HKC 342 (HC); Re Brio Technology International Ltd [2000] 3 HKC 536 (CFI). Pending litigation between one group of contributories and another does not necessarily imply a deadlock in the management of the company or a deadlock in the company as a whole: Re Tourmaline Ltd [2000] 4 HKC 348 (CFI).
