Directors as agents of the company are, in general, not allowed to delegate their powers in the absence of any express or implied authority to do so: Re Leeds Banking Co Haward’s Case (1866) 1 Ch App 561; Southampton Dock Co v Richards (1840) 1 Man & G 448. The fiduciary relationship between directors and the company precludes a board from delegating without authority and from fettering its future exercises of discretion in the absence of authority. Usually, articles permit delegation to a managing director and to committees of the board: Companies Ordinance (Cap 32) sch 1 table A arts 104, 109.
