释义 | 不可分割的合約 A contract that requires entire performance. Contracts are indivisible or entire when the consideration is one and entire; that is where, on the proper construction of the contract, no consideration is to pass from one party unless and until the whole of the obligations of the other party have been performed: Vigers v Cook [1919] 2 KB 475 (CA). Thus a party who has not completely performed cannot demand performance by the other party: Eshelby v Federated European Bank [1932] 1 KB 254, 1 KB 423 (CA). A contract providing for certain obligations being entire would relieve an innocent party of all liability to pay the party in breach and does not necessarily attract the rule against penalties: Cutter v Powell [1795] 6 Term Rep 320. Whether an obligation is entire or severable is a matter of construction. Once the court finds that the obligation is entire, then there is no compensation at all unless the obligation is completely performed: Betty Ho Hong Kong Contract Law (1994) p 375. Also known as ‘entire contract’ or ‘entire obligation’.
