释义 | 不可強制執行的合約 A contract which the law will not enforce by direct legal proceedings, but which is nevertheless recognised by the law as valid so that it may be indirectly enforceable: for example Re Brockman [1909] 2 Ch 170 (CA). It is not void because, if the defect is cured, it will become directly enforceable; and it is not voidable, as no party has the power of avoidance. The main examples are statutory, for example where writing is required for the enforceability of a contract. The categories of contracts that are unenforceable at common law include some cases of lack of contractual capacity; agreements contrary to public policy; a contract entered into with the object of committing an illegal act; and contracts where performance of the contract has been postponed by the agreement of the parties.
