A broker is a person who usually contracts in the name of his principal in relation to contracts for the sale and purchase of goods not in his possession: Baring v Corrie [1814-1823] All ER Rep 283, (1818) 2 B & Ald 137. The role of the broker is that of a mere negotiator superintending the making of the bargain between the buyer and seller: Fowler v Hollins (1872) LR 7 QB 616. A broker is paid by commission or brokerage. Common examples are share brokers, insurance brokers, and ship brokers. A broker is a corporation licensed to carry on a business in dealing in securities under the Securities and Futures Ordinance (Cap 571) pt V. An authorised financial institution registered for carrying on a business in dealing in securities under the Securities and Futures Ordinance (Cap 571) pt V to the extent that the institution carries on such a business only: Inland Revenue Ordinance (Cap 112) s 20AA(6).
