| 释义 | 類別會議 A meeting of shareholders holding a particular class of shares in a company, usually distinguished by the particular rights attached to the shares: Companies Ordinance (Cap 32) s 64(1). If there are not two or more classes of shares, all the shares in a body corporate constitute a class. Separate meetings of different classes of shareholders are often required in connection with a scheme of arrangement where the scheme may have a different effect on different classes of shareholders. At a class meeting, the power of the majority to bind the minority must be exercised for the purpose of benefiting the class as a whole: Companies Ordinance (Cap 32) s 63A; Re Holders Investment Trust Ltd [1971] 2 All ER 289, 1 WLR 583.
