释义	擔保有限公司 A company formed with the liability of its members limited by the memorandum to the respective amounts that the members undertake to contribute to the assets of the company if it is being wound up: Companies Ordinance (Cap 32) s 4(2)(b). The memorandum of association must state its name, that the liability of its members is limited and that each member undertakes to contribute to the assets of the company in the event of winding up not exceeding a specified amount: s 5. The company is required to register articles of association in addition to the memorandum of association: s 9.
