释义 | 蓋上印章的合約 A contract expressed in an instrument under seal (that is, in the form of a deed). A contract made between private persons, if required by law to be in writing and under seal, may be made on behalf of the company in writing under its common seal. A contract so made binds the company and its successors and all other parties to it: Companies Ordinance (Cap 32) s 32. Contracts made on behalf of any body corporate wherever incorporated need not be under seal: Corporate Bodies Contracts (Cap 293) s 2. See also Special contract. 在用印章簽立(即采用契據形式)的任何文書內明訂的合約。如法律規定須以書面形式訂立並蓋上印章者,則個人之間訂立的合約可由公司的代表以書面形式訂立並蓋上公司法團印章。此等合約對公司及其繼承者以及該合約的所有其他各方均具約束力:《公司條例》(第32章)第32條。代表法人團體(不論其在何處成立為法人團體)而訂立的合約則無須蓋上印章:《法人團體合約條例》(第293章)第2條。另見 Special contract。 |
