An unconditional promise in writing made by one person to another, signed by the maker, engaging to pay, on demand or at a fixed or determinable future time, a sum certain in money to, or to the order of, a specified person or to bearer: Bills of Exchange Ordinance (Cap 19) s 89(1). An instrument in the form of a note payable to maker’s order is not a note within the meaning of this definition, unless and until it is indorsed by the maker: s 89(2). A note is not invalid by reason only that it contains also a pledge of collateral security, with authority to sell or dispose thereof: s 89(3). An instrument is not a promissory note if conditional clauses are added to the promise to pay: Balck v Pilcher (1909) 25 TLR 497. The law relating to the parties to bills of exchange applies, with exceptions, to promissory notes: s 95(1). A promissory note may be in any language: Re Marseilles Extension Rly and Land Co, Smallpage’s & Brandon’s Cases (1885) 30 Ch D 598. See also Bill of exchange; Cheque; Negotiable instrument.
