释义	公司的職能 The power of a company to acquire, to exercise legal rights and to assume legal liabilities; for example, to make contracts. A company is deemed to have the legal capacity (including powers) of a natural person: Companies Ordinance (Cap 32) s 5A(1)(a). Power of the company may be limited by memorandum: s 5B. Whether a company has bound itself by a contract or other transaction requires consideration of the company’s legal capacity to enter the transaction, whether the persons acting for the company have authority to act for it and whether they have acted for the advancement of the company’s purposes. Individual assents given separately may, for the purpose of binding a company in its corporate capacity, be considered as equivalent to the assent of a meeting: Re George Newman & Co [1895] 1 Ch 674; Tsao Chin Lan v Tin Ka Kung & Ors [1995] 2 HKC 671.
