释义 | 失責條款 A provision in a building contract entitling the proprietor to determine the contract in certain circumstances. These circumstances commonly include unauthorised suspension of work, failing to proceed with due diligence, poor work or substandard materials, failing to comply with a direction of the contract administrator to remove defective work, and insolvency. Default clauses may be express or implied: Cosmo Sea Freight (HK) Ltd v Gold King Consolidator Ltd (HCA 8254/92, unreported). No precise form of words is necessary to create a default clause. It is sufficient if the words used were intended to have the effect of creating a condition. Also known as ‘forfeiture clause’: Sung Hing Chuen v Cheng Tsui [1977-1979] 1 HKC 560 (DC), Seto Sylvia & Anor v Kowloon Shopping Centre Ltd & Anor [1980] 1 HKC 725 (HC).
