释义	衍生訴訟 Where a company, other incorporated body or trade union is alleged to be entitled to claim a remedy and a claim is made by one or more members of the company, body or trade union for it to be given that remedy it is termed a ‘derivative action’. In a derivative action, the right to bring an action derives from the company and the plaintiff shareholder who is bringing the action is suing on behalf of the company to enforce rights derived from it. The wrong must be done to the company itself but not the individual shareholders. The company must be joined as a co-defendant so that if its rights are vindicated it will be able to enforce the judgment: Prudential Assurance Co Ltd v Newman Industries Ltd (No 2) [1982] 1 All ER 354, Ch 204 (CA); Wallersteiner v Moir (No 2) [1975] QB 373.
