释义 | 董事酬金 The money received by a person for performing the office of director of a company. Unless payment of remuneration is provided in the memorandum or articles of association, the directors are not entitled to be paid for services rendered to the company as directors nor can they claim payment on a quantum meruit: Dunston v Imperial Gas Light Co (1831) 3 B & Ad 125; Halsbury’s Laws of Hong Kong, Vol 6, Companies and Corporations [95.0634]. The remuneration of the director is to be determined by the company from time to time in general meeting and such remuneration will be deemed to accrue from day to day: Companies Ordinance (Cap 32) table A pt I art 78.
