释义 | 條件尚待完成的契據 AF – escrowe – a piece of cloth or parchment, a scroll. An intended deed delivered which is not to become the deed of the party expressed to be bound by it until some condition has been performed. Delivery as an escrow may be made in words or by conduct, the party should expressly or impliedly declare his intention to be bound by the provisions inscribed. Once the condition is fulfilled the deed becomes binding absolutely: Alan Estates Ltd v W G Stones Ltd [1982] Ch 511. Formerly, the delivery of an escrow had to be to a stranger and not a grantee: Whyddon’s case (1596) Cro Eliz 520, 78 ER 769. A deed may now be delivered as an escrow to the party intended to be bound or to an attorney acting for all parties thereto pending the performance of the condition subject to which it was so delivered: Xenos v Wickham (1866) LR 2 HL 296; Philips v Edwards (1864) 33 Beav 440. However, if the condition is not fulfilled, the contract remains in existence. Also known as ‘conditional delivery’.
