释义	終止履行 The discharge of a promisor’s obligation to perform, or to be ready and willing to perform, contractual duties. The discharge may occur: automatically, either pursuant to an express term of the contract, or under the doctrine of frustration; by an election to treat the contract as discharged, or pursuant to an express clause, either under common law principles governing discharge for breach or repudiation; or by the exercise of a statutory right. Termination of performance is distinguished from suspension of performance by reason of its finality, in that, if the performance of a contract is merely suspended the parties can resume performance of the original contract, but where performance is terminated, any resumption of performance must be considered as occurring under a new contract. In many cases, the rejection of performance will constitute termination of performance.
