释义 | 不可能履行 The situation in which circumstances have rendered contractual obligations incapable of being performed. Such a situation may occur at the time a contract is entered into or after a contract is entered into. A contract which is incapable of performance at the time when it is made will be void ab initio: (Hall v Cazenove (1804) 4 East 477, 102 ER 913); whereas subsequent impossibility brings a valid contract to an end, generally from the moment of impossibility (Hirji Mulji & Ors v Cheong Yue SS Co Ltd [1926] AC 497 (PC); Heyman & Anor v Darwins Ltd [1942] AC 356, 1 All ER 337 (HL)). If the impossibility of performance was known to the promiser at the time when the contract was made but was not known to the promisee, the former will be taken to have made an absolute promise: Matthey v Curling [1922] 2 AC 180 (HL). Impossibility of performance created by the act or default of a party of itself constitutes a ground for rescission: Universal Cargo Carriers Corp v Citati [1957] 2 All ER 401, 2 QB 401.
