| 释义 | 不當地使用資料 The utilisation of information by a former or a present company officer (acquired by virtue of his or her position as an officer or employee) to gain, directly or indirectly, a personal advantage or an advantage for any other person, or to cause detriment to the corporation. The court will restrain an ex-servant generally from making an improper use of information obtained in the course of employment: Amber Size and Chemical Co Ltd v Menzel [1913] 2 Ch 239. The fact that the information was not confidential is not relevant. The information will have been used improperly if it is inconsistent with the proper discharge of the duties, obligations and responsibilities of the officer concerned.
