释义 | 分包銷商 An entity which takes some of the underwriting risk of the primary underwriter to a public offer of shares in return for a portion of the underwriting fee. It is common practice for underwriters to enter into contracts with sub-underwriters. The underwriting agreement is usually between the primary underwriter and the sub-underwriter. Under these contracts, the sub-underwriter will agree to subscribe for a portion of the shares underwritten by the underwriter. Unless the sub-underwriter can prove that the underwriter, who is his agent, relied on the misrepresentations, a sub-underwriter may not generally rescind his contract where he is an undisclosed principal even though he relied on the misrepresentations: Collins v Associated Greyhound Racecourses Ltd [1930] 1 Ch 1 (CA).
