释义	無限法律責任 Where there is no limit placed on liability. In company law, companies not having any limit on the liability of their members are called unlimited companies: (Cap 32) s 4(2)(c). In a limited company the liability of the directors or managers or the managing director may be unlimited, if so provided by the memorandum, or the memorandum may be altered by special resolution, so as to render their liability unlimited: ss 159, 160. In a partnership, every partner in a firm has unlimited liability jointly with the other partners for all debts and obligations of the firm incurred while he is a partner: Partnership Ordinance (Cap 38) s 11. In a limited partnership, there is at least one general partner who has unlimited liability for all debts and obligations of the firm, and one or more persons, called limited partners, who are not liable for the debts or obligations of the firm beyond the amount each has contributed: Limited Partnership Ordinance (Cap 37) s 3(2).
