释义 | 手令/保證 An authorisation or assurance. Corporations - 1. A certificate, often attached to a bond, giving the holder rights to subscribe to future bond issues by the same issuer. 2. A certificate issued by a company giving the holder rights to subscribe for shares in the company, if so desired. Where a company is authorised by its articles it may, with respect to any fully paid-up shares, issue under its common seal a warrant stating that the bearer of the warrant is entitled to the shares specified in the warrant, and may provide, by coupons or otherwise, for the payment of the future dividends on the shares included in the warrant: Companies Ordinance (Cap 32) s 73(1), (2). In addition, a company’s articles may provide that the bearer of a share warrant is deemed to be a member of the company: s 97(5). A share warrant entitles the bearer to the shares specified in the warrant: s 73(3). On the issue of a share warrant the company must strike out of its register of members the name of the member then entered in it as holding the shares specified in the warrant as if he had ceased to be a member, and must enter in the register the following particulars: (1) the fact of the issue of the warrant; (2) a statement of the shares included in the warrant, distinguishing each share by its number so long as it has a number; and (3) the date of the issue of the warrant: s 97(1). Criminal law - A document issued by an official, usually a judge or magistrate, authorising that a person be arrested and brought before a court (for example Magistrates’ Ordinance (Cap 227) s 31(1)), a person to enter any premises and to search the premises or any person found on the premises or to seize any material (Interpretation and General Clauses Ordinance (Cap 1) ss 85, 86), that a person be taken to jail or other place of detention (for example Immigration Ordinance (Cap 115) s 29(1)), or authorising a person to commit an act that, without such authority, would be illegal, such as authority to carry out a search of premises (for example Dangerous Drugs Ordinance (Cap 134) s 2). Any warrant or summons issued by a magistrate is not be avoided by reason of the magistrate who signed the same dying or ceasing to hold office: Magistrates’ Ordinance (Cap 227) s 32.
