| 释义 | 獨立契諾 Terms of a contract that are not dependent or contingent upon each other in, that the parties did not intend that performance of the contract was to take place only if both were valid or performed; for example, a tenant’s covenant to pay rent is independent of the landlord’s covenant to repair: Taylor v Webb [1936] 2 All ER 763, [1937] 2 KB 283. Whether covenants are to be taken as dependent or independent is to be decided in accordance with the intention of the parties as appearing in the instrument, the construction of the contract and the surrounding circumstances: Yiu Yau Ping v Fong Yee Lan [1992] 2 HKLR 167 (CA).
