| 释义 | 關鍵性遺漏 A non-disclosure or failure to do a thing which, if disclosed or done, would have some influence or effect on the decision of the party or parties involved. It is an offence for any person in an application for a licence to furnish any information which he knows or has reason to believe to be false in any material particular or by reason of the omission of any material particular: Public Health and Municipal Services Ordinance (Cap 132) s 92C(1)(b); Miscellaneous Licences Ordinance (Cap 114) s 7(c). The omission of a material particular in the statement of claim might lead to the striking out of the action: Ward v Lewis [1955] 1 All ER 55, 1 WLR 9 (CA); Albert E Snellink v Data General Hong Kong Ltd (CACV 83/89, unreported). Corporations - A non-disclosure which might reasonably affect, or tend to affect, the shareholder’s decision as to how to act. All persons concerned with take-overs and mergers should make full and prompt disclosure of all relevant information: Code on Take-overs and Mergers General Principles para 2. In the event of a company being wound up, whether by court or voluntarily, any person being a past or present officer of the company commits an offence if he makes any material omission in any statement relating to the affairs of the company: Companies Ordinance (Cap 32) s 271.
