释义 | 合約的約束性 At common law there are three essential elements of a binding contract: agreement (offer and acceptance), consideration and intention to create legal relations. Once a binding contract has been formed, all the parties are bound to fulfil their obligations under it. Failure to do so may entitle the other party to sue for damages or an order for specific performance.
