Where a member of a company complains that the affairs of the company are being or have been conducted in a manner unfairly prejudicial to the interests of the members generally or of some part of the members (including himself), the member or members may make an application to the court by way of petition for relief: Companies Ordinance (Cap 32) s 168A. Relief includes a restraining order, winding up of the company, regulating the conduct of company affairs, an order that proceedings be brought in the name of the company against the wrongdoers, ordering the purchase of the shares of a member and ordering the reduction of the company’s capital. The test of unfairness is an objective one and both ‘unfairness’ and ‘prejudice’ must co-exist for the Companies Ordinance (Cap 32) s 168A to be applicable: Re Taiwa land Investment Co Ltd [1981] HKC 277. If it appears to the Securities and Futures Commission from any information, record or other document, that the affairs of a listed company are being or have been conducted in a manner unfairly prejudicial to the interests of its members generally or of some part of the members, the Securities and Futures Commission, after consultation with the Financial Secretary, may make an application to the Court of First Instance by petition for an order under the Securities and Futures Ordinance (Cap 571) s 214(1). Oppressive conduct is that which is burdensome, harsh and wrongful, manner: Elder v Elder & Watson Ltd (1952) SC 49.
