| 释义 | 合伙帳戶 A bank account held by a partnership. Each partner has an implied authority to open an account on behalf of the firm and may operate the account in his or her own right. Where a partner pledges the credit of the firm for a purpose apparently not connected with the firm’s ordinary course of business, the firm is not bound, unless he is in fact specially authorised by the other partners: Partnership Ordinance (Cap 38) s 9. The firm’s banking account and the drawing of cheques are examples of the principal matters which are commonly governed by partnership articles. The death of a partner does not preclude the surviving partner or partners from drawing on the partnership accounts: Backhouse v Charlton (1878) 8 Ch D 444.
