All members are liable to honour their guarantee if the company is wound up: Companies Ordinance (Cap 32) ss 4(2), 5(3). The statutory form of memorandum and articles of association of a company limited by guarantee and having a share capital: sch 1 table D. The members of a company limited by guarantee which has a share capital shall be liable, in addition to the amount undertaken to be contributed to the assets of the company in the event of its being wound up, to contribute to the extent of any sums unpaid on any shares held by him: s 170(3).
