Dealing of the parties before the contract was formed. Where the agreement is not wholly in writing, its terms may depend wholly or in part upon conversations and dealings between the parties. Generally where there is a dispute as to the meaning of the words in the contract, the court is entitled to consider the surround facts of the contract: Shore v Wilson (1842) 9 Cl & Fin 355. Where there has been no frequent dealings it is not sufficient to constitute a course of dealing as to incorporate term in previous written contracts into subsequent oral contract: Victoria Fur Traders Ltd v Roadline (UK) Ltd [1981] 1 Lloyd’s Rep 570 (three or four transactions only over five years).
