| 释义 | 程序失當 In company law, the absence of a quorum at a meeting or a defect, irregularity or deficiency of notice or time. Where the intention is clear, the lawfulness of a decision taken by the meeting of the members of a board cannot be questioned by mere reason of irregularity and informality: Yip Peter v Asian Electronics Ltd [1998] 2 HKC 96. Irregularities in proceedings may be waived by unanimous agreement of all members entitled to attend and vote at the meeting: Re Express Engineering Works Ltd [1920] 1 Ch 466.
