| 释义 | 法人團體 A legal entity having the capacity to sue or to be sued and to enter into contract and to do all the necessary deeds and acts as if it was a natural person. A limited company incorporated pursuant to the companies law is a body corporate: Companies Ordinance (Cap 32) s 18. Other organisations or associations recognised and/or registered pursuant to the statutes are also treated as body corporate. Companies and Corporation - A body corporate does not include a corporation sole, but a company incorporated outside Hong Kong: Companies Ordinance (Cap 32) s 2(3). A body corporate is a corporation treated in law as a legal person: s 16(2). One of the defining characteristics of a body corporate is that it is a separate entity from its shareholders for the purposes of suing and being sued, and in respect of holding assets and liabilities.
