| 释义 | 適當的合約法 The system of domestic law for governing the obligation which the parties have assumed or a particular aspect of the contract; a system of law to which either the contract as a whole or elements of the contract may be subjected, in particular when the contract is connected with several territorial jurisdictions. The proper law of contract may be stipulated expressly by parties to a contract, or may be inferred or implied in the absence of such express stipulation: Dow MBF Ltd v Detrick Ltd & Anor [1987] 2 HKC 495; York Airconditioning & Refrigeration Inc v Lam Kwai-hung (t/a North Sea A/C Elect Eng Co) [1995] 1 HKC 287. In the absence of express provision, the court will examine the contract to see whether, by necessary implication from the language used, the parties have evinced a common intention as to the system of law by which the contract is to be governed: Amin Rasheed Shipping Corp v Kuwait Insurance Co [1984] 1 AC 50. In the absence of any express or implied choice of proper law of contract, the court should, on objective grounds, determine and apply the system of law with which the transaction has the closest or most real connection: Bonython v Commonwealth of Australia [1951] AC 219; Bank of India v Gobindram Naraindas Sadhwani & Ors [1988] 2 HKLR 262.
