| 释义 | 契諾承諾人 The party to a covenant who promises to do or refrain from doing a particular act; the person who assumes the obligations of the covenant, who carries the burden of the covenant. The covenantor is liable to comply with the covenant as a matter of contract at the enforcement of the covenantee. Where the covenant relates to land, the covenant can also be enforced against the covenantor by successors in title to the original covenantee if the benefit of the covenant has run with the land either at law or in equity. The benefit is said to run with the land at law if it is expressly assigned to the successor in title by the original covenantee in accordance with any statutory requirements or if it is annexed to the land: Conveyancing and Property Ordinance (Cap. 219) ss 39, 40; Smith & Snipes Hall Farm Ltd v River Douglas Catchment Board [1949] 2 All ER 179, 2 KB 500 (CA). The benefit passes with the land in equity by annexation of the covenant to the land benefited, assignment of the benefit to the successor in title, by virtue of the doctrine of schemes of development under the Deed of Mutual Covenant made for the development, or by operation of statute: ss 39, 40.
