释义 | 加速清還條款 A term usually found in loan or hire purchase agreements that provide for payment by instalments, stipulating that in the event of one instalment falling in arrear, the whole sum is to become immediately payable. The distinction between liquidated damages and penalties applies to acceleration clauses. It is not a penalty where a clause stipulates accelerated payment of principal together with accrued interest, but it will be a penalty if the payment includes future interest on the unpaid balance: Oresundsvarvet Aktiebolag v Marcos Diamantis Lemis (The ‘Angelic Star’) [1988] 1 Lloyd’s Rep 122 (CA).
