| 释义 | 股東會議 A meeting of persons who have an interest in the share capital of a company. This is one of the two institutions of corporate governance, the other being the board of directors. A shareholders’ meeting is also a general meeting, where, the shareholders, through voting rights attached to their shares, may assert their power by passing resolutions to appoint or remove a director (Companies Ordinance (Cap 32) sch 1 table A arts 98, 99) or amend or add to the company’s articles, provided that it does not contradict the company’s memorandum or any statutory provisions (s 13).
